Job Description
Contracts and Tenders
- Draft, review and negotiate routine and lower-risk contracts (service, agency, referral, NDAs, appointments, vendor, variations) escalate matters outside agreed thresholds with a risk summary.
- Review tenders and awarded contracts, prepare qualifications and clarifications to deadlines, and hand over key obligations to delivery teams.
- Maintain templates and update when necessary administer the contract register, file executed copies and flag key dates in advance.
- Ensure legal documents are signed in accordance with the delegation of authority.
Business Advisory
- Give practical, plain English advice to business units to move business forward, as a commercially-minded counsel.
- Triage requests, resolve those within remit, and escalate high-risk matters with a recommended position.
Corporate Secretarial
- Draft board and shareholder resolutions, certified extracts and signatory mandates circulate for signing and track completion.
- Coordinate with the external corporate secretarial provider on ACRA filings, statutory registers and annual deadlines keep director, shareholder and delegation of authority records current.
Compliance and Group Reporting
- Coordinate LCR inputs to APAC and Group reporting to the reporting calendar collate data from business units and subsidiaries and prepare drafts for the Director's review.
- Support the group's ESG compliance obligations from the legal and compliance side, including policies, audits and questionnaires.
External Counsel and Vendors
- Handle work in-house where possible and scope and manage external counsel where needed onboard vendors, process invoices and track fees against estimates.
Requirements
- Minimum 3 years PQE in commercial or corporate work in-house and real estate, construction or facilities management experience an advantage.
- Hands-on experience with tenders and commercial contract negotiation working knowledge of the Singapore regulatory environment for real estate services an advantage.
- Strong drafting and negotiation skills clear, practical advice to non-lawyers.
- Commercially-minded problem-solver.
- Organised, proactive and discreet manages a high volume of matters, registers and deadlines in a lean team proficient in Microsoft Office.
