Job Description

Cana Consulting is partnering with a leading international energy group with significant investments and operations across Asia. As part of its regional legal function, the organisation is seeking an experienced senior lawyer to support its portfolio of energy and infrastructure investments, projects and operating businesses across the region.

Reporting to the senior legal leadership team, this individual will provide broad legal, governance and compliance support across the organisation's regional activities.

Key Responsibilities

  • Advise on strategic investments, joint ventures, M&A and project development matters across Asia.
  • Draft, review and negotiate a range of commercial, project, financing and transaction-related agreements.
  • Support the legal aspects of greenfield developments and investments in existing businesses and assets.
  • Advise on the establishment, structuring and ongoing management of joint ventures and strategic partnerships.
  • Provide legal and governance support in relation to the organisation's regional subsidiaries and portfolio investments.
  • Advise management on legal and regulatory issues arising from existing commercial relationships and regional operations.
  • Support the management and implementation of legal and compliance policies, procedures and internal controls.
  • Monitor relevant legal and regulatory developments across the region and assess their potential impact on the business.
  • Support compliance risk assessments, internal investigations, training and other ethics and compliance initiatives.
  • Manage external counsel across multiple jurisdictions where specialist or local advice is required.
  • Work closely with senior management and regional stakeholders on a broad range of legal, governance and compliance matters.
  • Provide guidance and support to other members of the legal team.

Requirements

  • Qualified lawyer with approximately 10+ years PQE, preferably admitted in a common law jurisdiction.
  • Strong experience in M&A, joint ventures, strategic investments and/or project development.
  • Prior exposure to the energy, infrastructure, utilities or other major projects sectors would be highly advantageous.
  • Experience advising on cross-border transactions and matters across Asia.
  • Comfortable operating across a broad remit encompassing transactional, commercial, governance and compliance matters.
  • Strong commercial judgement with the ability to advise senior business stakeholders.
  • Able to manage complex matters across multiple jurisdictions and work effectively with external counsel.
  • Prior in-house experience would be advantageous but is not essential.

The Opportunity

This is a 12-month fixed-term opportunity offering exposure to a sophisticated regional energy and infrastructure portfolio and the opportunity to work closely with senior management on strategic investments, projects and governance matters across Asia. There will be opportunity to be considered for an extension of the contract upon satisfactory performance.
