Job Description
We are partnering with a leading real assets investment platform to appoint a Legal Counsel – Investment Funds to join its established legal team.
This is a highly transactional role with a primary focus on fund formation, fundraising and ongoing fund-related matters across the platform's investment strategies.
The opportunity would be particularly well suited to a mid-level funds lawyer from a top-tier international law firm looking to move in-house while continuing to work on sophisticated private funds matters within an institutional investment environment.
Key Responsibilities
- Advise on the formation, structuring and establishment of private investment funds and related investment vehicles.
- Support fundraising activities throughout the fund lifecycle, working closely with fundraising, investor relations and investment teams.
- Draft, review and negotiate key fund documentation, including LPAs, subscription agreements, side letters and other investor documentation.
- Advise on co-investment vehicles, parallel funds, feeder structures and other fund-related arrangements.
- Support negotiations with institutional investors and advise on investor-specific legal and commercial matters.
- Provide ongoing legal support in relation to fund governance, fund operations and regulatory matters.
- Work closely with internal stakeholders across investment, capital raising, finance, tax and compliance.
- Coordinate and manage external counsel across multiple jurisdictions where required.
Requirements
- Qualified lawyer with approximately 5–7 years PQE.
- Strong experience within a top-tier investment funds practice, ideally at a leading international law firm.
- Solid technical grounding in private fund formation, structuring and fundraising.
- Experience drafting and negotiating fund and investor documentation, including LPAs and side letters.
- Exposure to private equity, infrastructure, real estate or other private capital / alternative investment funds would be highly relevant.
- Candidates already working in-house within an investment manager or private capital platform will also be considered.
- Strong drafting and negotiation skills with the ability to provide practical, commercially focused advice.
- Comfortable working closely with sophisticated investment professionals and senior stakeholders.
