Job Description

We are seeking a Manager or Senior Manager Company Secretarial Services (APAC) to join a leading global corporate services provider's secondment team providing company secretarial services to one of the largest global asset managers in APAC.

As a Secondee, you will oversee the delivery of company secretarial services, ensuring effective corporate governance and regulatory compliance for client entities, investment holding companies, and SPVs. You will support transactional activities across the region, with dual reporting into both the corporate services firm and the asset manager client.

This is a high-volume, fast-paced role that blends corporate governance knowledge with strong coordination and stakeholder management. Success means building strong relationships, managing expectations, and ensuring seamless coordination between internal and client teams while maintaining governance standards under pressure and across time zones.

What you will do

Corporate governance and compliance oversight

  • Oversee delivery of company secretarial services, ensuring regulatory compliance and effective governance
  • Ensure resolutions are passed in accordance with constitutional documents and applicable regulatory requirements
  • Review and flag governance risks in document execution processes
  • Maintain compliance standards across Singapore and offshore jurisdictions (including Cayman, BVI, Delaware, Luxembourg)
  • When needed, obtain additional evidence to demonstrate compliance

Deal execution coordination across APAC

  • Act as the bridge between the corporate services firm and the client, managing expectations and timelines
  • Coordinate between client teams, internal corporate secretarial teams, and third-party service providers to prepare, route, and execute transaction documents
  • Track approvals, manage document execution and follow up on outstanding signatures
  • Align timelines among deal accountants, legal counsel, and other stakeholders across time zones

Stakeholder liaison

  • Liaise with senior management, deal accountants, legal teams, auditors, tax agents, and other stakeholders
  • Coordinate instructions, clarify ambiguities, and ensure timely completion of tasks
  • Provide feedback to internal teams and fellow Secondees, fostering continuous improvement

Entity events and onboarding

  • Support incorporation of new entities, including KYC and onboarding documentation
  • Guide takeovers and post-completion formalities across multiple jurisdictions
  • Ensure all steps are completed within stipulated timelines and before deal completion dates

Board and committee governance

  • Organise and support board meetings, including scheduling, board pack preparation, and meeting logistics
  • Coordinate participants, dates, and agendas for pre-scheduled board and committee meetings

Statutory and regulatory filings

  • Manage statutory and regulatory filings, ensuring deadlines are met and documents are properly uploaded
  • Maintain a robust monitoring system to track progress and ensure nothing is missed

What you bring

Required:

  • 4 to 7 years corporate secretarial experience, preferably in a multinational or APAC context
  • Strong understanding of corporate governance and regulatory compliance you need to understand the substance behind the documents, not just route them
  • Experience with funds SPVs and cross-border entity coordination
  • Excellent communication and relationship-building skills across all levels
  • Proven ability to coordinate across multiple teams, jurisdictions, and time zones under pressure
  • Strong attention to detail and organisational skills for document control and execution tracking
  • Comfortable working independently with limited direct supervision

Preferred:

  • Experience liaising with senior management and cross-functional teams at large asset managers or PE firms
  • Prior experience in a secondment or embedded client-facing model
  • Exposure to Hong Kong and other ASEAN markets beyond Singapore
  • Prior experience supporting board meetings and statutory filings
