Job Description

Tasks & Responsibilities:

  • Assist to provide legal assistance and advice in the documentation process for financing, legal due diligence, asset acquisition, divestment. Particularly, in relation to the Indonesian-law aspect of the transactions.
  • Oversee the legal matters of the Company such as undertaking contract review, drafting and documentation involving local and Indonesian transaction negotiations, acquisitions, bond issuance, real estate transactions, ISDA negotiation, etc.
  • Fundraising transactions and other corporate projects involving Singaporean/foreign legal documents.
  • Work with overseas counterparts to monitor foreign subsidiaries and properties, and to determine the validity of legal documentation such as constitutional documents and company registers, land titles, statutory licenses & operating permits, leasing agreements, vendor contracts etc.
  • Liaise with Singapore/overseas legal counsels and external providers relating to the above.
  • Assist to coordinate the maintenance and fulfillment of the statutory and regulatory reporting.
  • Drafting of board resolutions, liaise with auditors, trustee, and other external parties on legal and compliance matters.
  • Assist with drafting of policies and procedures and other legal documentation, monitoring tasks of the department.
  • Liaise with board of directors and audit risk committee and attend Board meetings and organise the AGM and EGMs.
  • Regulatory management and compliance and establishing all policies and processes to meet those requirements whilst providing appropriate internal guidance, education and advice to the management team. In addition, the scope includes the management of forms, declarations and announcements to the regulators (MAS, SGX) and ACRA, and the need to monitorand apply updates and revisions to the regulations as well as any otherrelevant new market updates that might impact the Company.

Requirements

  • Master/ Bachelor degree in Law, Business Administration or Business Management
  • Experience in publicly listed REIT or real estate industry is highly preferred
  • Min 5 to 7 years of legal and compliance and corporate secretarial experience in corporate secretarial service provider/in house environment.
  • ICSA qualification is advantageous.
  • Working knowledge of relevant regulations issued by MAS, SGX, ACRA, etc.
