Job Description

The Transaction Manager is responsible for the end‑to‑end execution, coordination, and delivery of Capital Markets Services transactions, ensuring they are completed accurately, on time, and in full compliance with legal, regulatory, and internal risk standards.

The role serves as a senior central point of contact for clients and external counterparties, coordinating complex multi‑party transactions while managing internal stakeholders to ensure smooth execution from onboarding through closing and post‑closing activities.

Key Responsibilities

Transaction Execution & Delivery

Manage the full lifecycle of capital markets and structured finance transactions, including onboarding, documentation, execution, closing, and post‑closing activities.

Coordinate transaction milestones to ensure timely delivery against agreed timelines.

Oversee execution quality, ensuring accuracy, completeness, and alignment with governing documentation and service scope.

Proactively identify and resolve issues related to documentation, execution, closing conditions, and regulatory requirements.


Client & External Stakeholder Management

  • Act as the primary senior point of contact for clients on assigned transactions.
  • Liaise directly with external counterparties including:
  1. Originators
  2. Arrangers
  3. Deal counsel
  • Paying agents, trustees, and other service providers
  • Represent the firm professionally in complex discussions, providing clear guidance on process, requirements, risks, and timelines.
  • Build strong client relationships through effective communication, issue resolution, and value‑added support.

Internal Coordination & Governance

  • Coordinate closely with internal teams such as:
  1. Legal
  2. Compliance
  3. Risk
  4. Operations
  5. Relationship Management

  • Ensure all transactions comply with internal governance frameworks, including approval, escalation, and sign‑off requirements.
  • Drive internal alignment on documentation positions, risk issues, and regulatory considerations.
  • Escalate execution, compliance, or risk matters promptly and appropriately.


Documentation, Risk & Regulatory Oversight

  • Review and manage transaction documentation including loan agreements, indentures, security documents, and ancillary agreements.
  • Ensure documentation reflects agreed commercial terms and complies with regulatory and internal risk requirements.
  • Maintain strong oversight of KYC / AML and client onboarding processes, ensuring timely completion and regulatory adherence.
  • Monitor transaction risks and ensure mitigation actions are implemented where required.

Continuous Improvement & Expertise

  • Act as a subject‑matter expert on capital markets transactions, structures, and documentation.
  • Contribute to the enhancement of transaction management frameworks, playbooks, and best practices.
  • Support knowledge sharing, coaching, and capability building within the team.
  • Identify opportunities to improve execution efficiency, risk controls, and client experience.

Key Requirements

Education

  • Bachelor's degree in Law, Finance, Accounting, Business, or a related discipline.

Experience

  • 5-8+ years experience in Transaction Management, Corporate Trust, Capital Markets Services, or a comparable financial services environment.
  • Strong experience managing complex capital markets transactions such as:

    1. Structured finance
    2. Loan or debt capital markets
    3. Securitisation or trust structures
  • Proven track record of managing multi‑stakeholder, deadline‑driven transactions.

Technical & Professional Skills

Strong understanding of:

  1. Capital markets transactions and loan structures
  2. Transaction documentation and market standards
  3. KYC / AML and onboarding requirements

Excellent execution discipline with high attention to detail and risk awareness.

Strong ability to interpret legal and financial documentation.

Excellent communication and stakeholder management skills, with confidence operating at senior levels.

Ability to manage competing priorities in a fast‑paced, regulated environment.
