Deliver full company secretarial services to ensure compliance with statutory and regulatory requirements under the Companies Act, SGX Listing Manual, and Code of Corporate Governance
Draft and review board/shareholder resolutions, minutes, and perform statutory filings in accordance with the Singapore Companies Act and ACRA regulations.
Attending and drafting of board committees meeting minutes of the listed entity.
Coordinate and prepare documentation for board meetings, shareholder meetings, and regulatory filings to facilitate timely and accurate decision-making.
Organise and prioritise multiple tasks efficiently to meet deadlines and support smooth department operations.
Support the General Manager in managing and ensuring compliance with statutory and regulatory requirements across a portfolio of group companies, and in improving internal processes, written SOPs, and departmental workflows to enhance efficiency.
Support corporate team on various corporate actions, events and KYC compliance matters
Supervise, mentor, and provide guidance to junior corporate secretarial staff to ensure quality andconsistency of work.
Maintainconfidentiality and uphold high standards of professionalism in handlingsensitive corporate information.
Requirements
Degree in Business Administration, Law, Accountancy, or a related field.
ICSA qualified Chartered Secretary.
At least 4-5 years of relevant experience in corporate secretarial work, ideally within a corporate service provider, professional services firm or SGX mainboard listed companies.
Strong knowledge of the Singapore Companies Act, SGX Listing Manual, Code of Corporate Governance, MASKYC procedures and and relevant guidelines.
Good knowledge of processes and electronic filing requirements of ACRA, announcements submission via SGXNet and RegCo Submission.
Comfortable working independently, highly organised with ability to priorities and seamlessly multi-task in meeting multiple deadlines for corporate actions.
Strong interpersonal and communication skills, with excellent command of the English language, both spoken and written.
Demonstrates integrity, accountability, proactive approach to governance, and ability to maintain strict confidentiality.
