Duties and Accountabilities
- Assisting on equity, equity linked and debt capital markets deals across the APAC region
- Drafting, reviewing and preparing legal and technical documentation such as offering memoranda, prospectus, term sheets, underwriting/subscription agreements, trust deeds/indentures, forms for SEC filings and announcements, etc.
- Conducting legal due diligence on issuers, including reviewing corporate records, material contracts, etc.
- Managing work streams including third party due diligence and accounting comfort letters and circle ups.
- Preparing ancillary documentation, including legal opinions and closing certificates.
- Conducting legal research including analyzing applicable securities laws and market trends/precedents.
- Supporting transaction signings and closings and follow-up post-closing activities, including signing packs, closing checklists, transaction bibles and post closing compliance requirements
- Liaising with issuers, underwriters and other stakeholders working on a project on transaction progress, and overseeing and ensuring deliverables are met
Qualifications
- 1-2 years experience in DCM/ECM/IPO transactions gained with an international or reputable local law firm
- Common law or US qualification required
- Fluent English
- Willingness to learn and work on both ECM and DCM transactions in different jurisdictions across the region
- Strong academic record and intellectual curiosity, creative and analytical thinker with strong judgment skills
- Outstanding communication skills - written and verbal
- Strong time management skills, ability to stay calm under pressure when working across multiple deals
