Responsibilities
This is a senior counsel role within a highly structured in‑house legal team. You will act as a trusted advisor to senior executives, supporting complex transactions and strategic initiatives across the group.
- Advise on the formation, negotiation, and execution of joint ventures across multiple jurisdictions.
- Shape governance frameworks for partnerships, including control rights, escalation mechanisms, and exit protections.
- Provide legal oversight throughout the JV lifecycle, from inception to restructuring or separation.
- Lead legal execution of acquisitions, disposals, and minority investments across the group's business lines.
- Oversee transaction strategy, due diligence, and risk allocation.
- Draft, review, and negotiate core deal documentation, including share purchase and investment agreements.
- Support complex financing arrangements, including project and structured finance transactions.
- Partner closely with internal finance teams and external lenders to address bankability and risk allocation issues.
- Review and negotiate financing documentation, security arrangements, and inter‑creditor terms.
Requirements
- Qualified lawyer (>15 PQE) with experience gained in leading international law firms and/or complex in-house environments.
- Strong track record advising on M&A, project financing for large scale projects
- Highly commercial mindset with the ability to balance legal risk against business objectives.
- Strong negotiation skills and executive presence.
- Comfortable operating autonomously
- Resilient, discreet, and dependable when dealing with sensitive or high‑stakes matters.
- 5 WFO from their centrally located office.
