We are representing a leading private credit investment platform with a strong track record in providing bespoke financing solutions across multiple industries and geographies. To support continued growth, the firm is seeking a highly capable Legal Counsel to join its legal team. The successful candidate will have a minimum of 5 years post-qualification experience, with proven expertise in debt financing transactions.
Key Responsibilities
- Advise on a broad range of financing transactions, including bilateral and syndicated loans, mezzanine, structured credit, and other private debt arrangements.
- Draft, review, and negotiate facility agreements, security documents, intercreditor agreements, and related transaction documentation.
- Support deal teams on transaction structuring, due diligence, and execution, ensuring alignment with commercial objectives while managing legal and regulatory risk.
- Provide legal advice on portfolio management matters, including waivers, amendments, and restructurings.
- Liaise with external counsel and counterparties to drive efficient and effective deal execution.
- Monitor legal and regulatory developments impacting private credit and advise internal stakeholders accordingly.
- Collaborate with compliance, operations, and investment teams to ensure robust governance and risk management practices.
Requirements
- Minimum 5 years post-qualification experience gained at a top-tier law firm and/or in-house at a leading financial institution.
- Strong track record in debt financing, ideally with exposure to private credit, leveraged finance, or structured lending transactions.
- Excellent drafting and negotiation skills with the ability to manage complex transactions independently.
- Commercially astute, solutions-oriented, and able to balance legal risk with business priorities.
- Strong communication and stakeholder management skills, with the ability to work collaboratively in a fast-paced, deal-driven environment.
