Legal Counsel (In-house)

About the Role

Vertex Games is seeking a Legal Counsel to support the company's day-to-day legal matters and cross-border operations across Singapore, the United States, and other international markets. This is a generalist in-house role, working closely with external counsel on specialist matters such as litigation, regulatory issues, IP, and tax.

The ideal candidate is commercially minded, well organized, and comfortable communicating professionally in both English and Chinese with management, internal teams, counterparties, and external lawyers.

Key Responsibilities

• Manage day-to-day legal and compliance matters for the company's Singapore operations

• Review, draft, and negotiate commercial agreements, including vendor, service, and partnership agreements, NDAs, and other business contracts

• Advise on escalated consumer complaints, legal notices, regulatory correspondence, and potential disputes, assessing legal risk and preparing responses

• Support legal matters relating to the company's operations in the United States and other international markets

• Engage and manage external counsel in Singapore, the United States, and other jurisdictions, including scope, budget, deadlines, and deliverables

• Support matters involving intellectual property, data privacy, consumer protection, platform policies, and general commercial compliance

• Provide legal support to HR, procurement, business development, and corporate governance functions

• Establish and maintain internal processes for contracts, legal records, disputes, and document preservation

• Identify legal risks and give management practical, commercially focused recommendations

Requirements

• Bachelor's degree in Law or an equivalent legal qualification

• Approximately 3 to 6 years of relevant experience in a law firm or in-house legal role

• Working knowledge of corporate governance, including board and shareholder matters, statutory compliance, and corporate records

• Strong contract review and legal drafting skills

• Ability to handle general disputes and consumer-related claims, and to recognize when specialist external counsel should be engaged

• Ability to independently organize complex facts, documents, and communications into clear, accurate written materials

• Professional working proficiency in English and Chinese, spoken and written, to communicate effectively with Chinese-speaking stakeholders

• Strong commercial judgment, with the ability to balance legal risk, business needs, and cost

• Organized and detail-oriented, with the ability to manage multiple matters and deadlines

Preferred Qualifications

• Admission to the Singapore Bar

• Experience with Singapore corporate, commercial, and contractual matters

• Law firm experience in corporate/commercial, dispute resolution, or technology-related matters

• Experience with cross-border businesses, technology companies, internet businesses, mobile applications, or digital products

• Experience coordinating with U.S. or other international law firms

• Familiarity with App Store, Google Play, digital platforms, or internet product compliance
