Role Overview

Reporting to the Chief Strategy & Investment Officer, you will serve as the primary legal advisor managing end-to-end corporate, commercial, capital markets, commodities, compliance, and dispute matters across 10 regional operating markets.

Key Responsibilities

Commercial & Trade: Draft/negotiate supply, offtake, and logistics contracts advise on physical trade docs (charterparties, LCs, Incoterms, force majeure) and sanctions.
M&A & Restructuring: Lead full deal cycles (SPAs, JVs, investment agreements), conduct due diligence, and support regional corporate restructurings.
Fundraising & Capital Markets: Oversee debt/equity financing, bank facility docs, bond programs, and lead IPO readiness (due diligence, prospectus verification).
Disputes & Governance: Manage commercial arbitrations/litigation, maintain risk registers, implement internal policies (anti-bribery, PDPA), and advise the Board.

Requirements

Essential: LL.B with Singapore Bar admission min. 3+ years PQE proven lead experience in M&A (drafting/negotiations) experience in at least 2 of: fundraising, IPOs, or arbitration comfortable with high-volume trade contracts.
Preferred: APAC restructuring experience prior in-house background in fast-growing, PE-backed, energy/commodities/biofuel sectors exchange listing exposure (SGX/HKEX).
