- The Role: We are seeking a proactive and commercially-minded Legal Counsel to join our in-house team, with a focus on corporate matters and M&A. This role is crucial in supporting the company's strategic growth, including mergers, acquisitions, and other investment activities.
Key Responsibilities:
- Provide legal advice and support on all phases of M&A transactions, including due diligence, deal structuring, and negotiation of transaction documents.
- Manage corporate secretarial matters and ensure compliance with the Companies Act and other relevant corporate governance regulations.
- Draft, review, and negotiate a variety of commercial agreements, including joint ventures, partnerships, and vendor contracts.
- Advise senior management on legal risks and strategies related to business development and corporate initiatives.
- Liaise with and manage external counsel on complex corporate and cross-border matters.
Required Skills and Qualifications:
- Bachelor of Laws (LLB) or equivalent law degree.
- Admitted to the Singapore Bar with 10 years of post-qualification experience (PQE) in corporate law, with a strong emphasis on M&A.
- Solid experience from a reputable law firm or as an in-house counsel in a corporate environment.
- Excellent drafting, negotiation, and advisory skills.
- A strong business acumen and the ability to work collaboratively with multi-disciplinary teams.
