Job Description
We are partnering with a private equity-backed digital infrastructure platform to appoint a Legal Counsel – Corporate Governance & Compliance to join its established legal team.
This is a newly created headcount reflecting the continued growth and development of the business. Reporting to the Head of Legal, the successful candidate will have a broad remit across corporate governance, compliance, regulatory and corporate secretarial matters.
The role would suit a lawyer looking for a commercially engaging in-house position within a fast-growing and sophisticated infrastructure platform. Candidates currently in-house as well as those looking to make their first move from private practice are encouraged to apply.
Key Responsibilities
- Advise the business on a broad range of corporate governance, compliance and regulatory matters.
- Support the development, implementation and ongoing enhancement of governance and compliance frameworks, policies and procedures.
- Advise on corporate secretarial and entity governance matters, including board and shareholder processes, statutory requirements and corporate records.
- Support board and committee activities, including preparation and review of relevant documentation and corporate approvals.
- Monitor regulatory developments and advise the business on their potential impact.
- Work closely with legal, compliance, finance and other business stakeholders on governance and regulatory initiatives.
- Support internal compliance reviews, training and other risk management initiatives.
- Manage external counsel and corporate service providers where required.
Requirements
- Qualified lawyer with approximately 2–5 years PQE.
- Relevant experience across corporate governance, regulatory, compliance and/or corporate secretarial matters.
- Candidates from a leading law firm or an established in-house legal team will both be considered.
- Corporate or corporate advisory experience with exposure to governance and regulatory matters would be highly relevant.
- Strong drafting, analytical and stakeholder management skills.
- Commercially minded, proactive and comfortable working within a dynamic, fast-growing environment.
