About the Role
We are seeking a commercially astute and technically strong General Manager, Corporate Legal to join a high-performing legal team within a global organization. This role is designed for a seasoned lawyer who thrives in complex, cross-border environments and is equally comfortable handling contentious and non-contentious matters. You will act as a strategic advisor to the business, supporting critical investments, partnerships, and projects that are central to the company's growth trajectory.
Key Responsibilities:
1. Joint Ventures & Strategic Partnerships
- Lead the structuring, negotiation, and documentation of joint ventures across multiple jurisdictions
- Advise on JV governance frameworks, including board structures, reserved matters, and deadlock mechanisms
- Support lifecycle management of JVs, including disputes, restructurings, and exits
- Advise on corporate governance matters in joint ventures, including minority protection, fiduciary duties, and establishing compliance frameworks
2. Mergers & Acquisitions
- Manage end-to-end M&A transactions, including acquisitions, disposals, and strategic investments
- Provide legal support on due diligence, transaction structuring, and risk allocation
- Draft and negotiate transaction documentation (SPAs, shareholders agreements joint venture agreements, etc.)
3. Project Financing & Complex Financing Structures
- Advise on project finance transactions, including limited recourse and non-recourse financing structures
- Identify and mitigate key bankability risks working with the business and legal colleagues
- Support negotiations with lenders, sponsors, and other stakeholders
- Review and negotiate financing documentation, security packages, and intercreditor arrangements
4. Governance & Regulatory Risks
- Has developed and implemented governance policies and controls
- Demonstrated consistency in establishing and implementing governance standards and standardized documentation across entities
- Operate across multiple jurisdictions, advising on and mitigating cross-border legal and regulatory issues across assigned matters
Requirements:
Candidate Profile
- Qualified lawyer with strong academic credentials and admission in a recognized jurisdiction
- Significant PQE (typically 15+ years) gained in top-tier law firms and/or in-house roles
- Demonstrated expertise in:
- Joint ventures and governance
- M&A and complex transactions
- Project financing
- EPC or large-scale infrastructure/energy projects
- Proven ability to handle both contentious and non-contentious matters
- Substantial international experience, with exposure to cross-border transactions and multi-jurisdictional legal frameworks
