Company Overview

Xl Ventures Pte Ltd is a Singapore-based fund management company holding a Venture Capital Fund Manager (VCFM) licence issued by the Monetary Authority of Singapore. The firm focuses on venture capital investments in the energy-transition sector, decarbonisation of the hard to abate sectors, and operates within the regulatory framework applicable to VCFMs.

Role Purpose

The Executive Director will serve as a member of the Board and part of the senior management team, supporting the CEO in the day-to-day management, regulatory compliance, and strategic execution of the firm. The role ensures the FMC maintains robust governance and meets all MAS regulatory expectations.

Key Responsibilities

1. Management & Operations

  • Support the CEO in overseeing daily operations of the FMC.
  • Execute business strategies, investment processes, and operational initiatives.
  • Ensure proper documentation and execution of investment decisions.

2. Regulatory Compliance & Liaison

  • Ensure ongoing compliance with requirements set by the Monetary Authority of Singapore for VCFM licence holders.
  • Work closely with compliance and external advisors on regulatory matters, filings, and audits.
  • Maintain and implement policies covering AML/CFT, risk management, and internal controls.

3. Investment Oversight

  • Participate in sourcing, evaluating, and monitoring venture capital investments.
  • Contribute to investment committee decisions where applicable.
  • Ensure investment activities align with stated fund mandate and MAS VCFM requirements.

4. Risk Management & Controls

  • Assist in identifying operational, financial, and regulatory risks.
  • Ensure appropriate internal controls and governance frameworks are implemented and maintained.
  • Monitor compliance breaches and oversee remediation actions.

5. Board Responsibilities

  • Actively participate in board meetings and decision-making.
  • Provide informed input on strategic, financial, and operational matters.
  • Uphold fiduciary duties to act in the best interests of the company and its investors.

6. Stakeholder Management

  • Engage with investors, service providers (e.g., administrators, auditors, legal counsel), and regulators where required.
  • Support fundraising, reporting, and investor communications.

Regulatory & Fit-and-Proper Requirements

The candidate must:

  • Meet the fit and proper criteria established by the Monetary Authority of Singapore (integrity, competence, financial soundness).
  • Possess relevant experience in fund management, financial services, or venture capital.
  • Have a clean regulatory and compliance track record.

Preferred Qualifications & Experience

  • 5–10+ years of experience in:
  • Venture capital / private equity / fund management
  • Financial institutions or regulated environments
  • Strong understanding of Singapore regulatory framework, particularly VCFM regime.
  • Experience in operations, compliance, or investment management.
  • Professional qualifications in finance, law, or business are advantageous.

Time Commitment

  • Full-time or substantial part-time involvement depending on company scale.
  • Active engagement in operational and board-level responsibilities.

Compensation

  • May include:
  • Salary (if executive capacity is full-time)
  • Bonus / profit participation / carry
  • To be determined based on experience and scope of responsibilities.

Reporting Line

  • Reports to the Board of Directors.
  • Works directly with the CEO and other key function holders (e.g., Compliance, Risk).
