Job Description

The Role

Our client is an established global infrastructure investment manager with an extensive investment portfolio across energy, utilities, digital infrastructure, and other essential infrastructure sectors.

The firm is looking to strengthen its Corporate Secretary team in Singapore to support board meetings, corporate governance and the day-to-day administration of its Singapore and overseas entities. This is a hands-on position suited to candidates who enjoy taking ownership of the entire corporate secretarial process, from meeting preparation and documentation through to statutory filings and follow-up actions.

Key Responsibilities

  • Organise and coordinate Board, Board Committee and shareholders meetings, including physical and virtual meetings, scheduling, logistics and communication with directors and stakeholders.
  • Prepare meeting agendas, board packs, resolutions, minutes and other corporate governance documentation.
  • Track meeting decisions and follow-up actions, ensuring documentation, approvals and outstanding matters are completed promptly.
  • Maintain statutory registers, minute books, corporate records and entity databases.
  • Prepare and submit statutory filings with ACRA, ensuring compliance with the Singapore Companies Act and applicable requirements.
  • Handle routine corporate actions, including incorporations, director changes, share allotments/transfers and changes to corporate structures.
  • Liaise with internal Finance and Legal teams, directors and external corporate secretarial providers across jurisdictions.
  • Support ad hoc corporate governance, entity administration and transaction-related matters as required.

Qualifications

  • 5–8 years of relevant corporate secretarial experience in Singapore; candidates with stronger experience are also welcome.
  • Experience with a corporate secretarial services provider, professional services firm or similar client-service environment is preferred.
  • Proven hands-on experience organising board meetings, preparing agendas and board packs, and drafting accurate meeting minutes.
  • Sound knowledge of Singapore Companies Act requirements, ACRA filings and statutory compliance.
  • Comfortable independently managing multiple entities, competing deadlines and senior stakeholders.
  • Strong written English, attention to detail, organisation and follow-through.
  • Exposure to investment holding companies, SPVs or cross-border entities would be advantageous, but is not essential.
