The Role
Our client is looking for an experienced Corporate Secretary to join their team. This role involves managing the full spectrum of corporate secretarial matters for multiple client companies from statutory compliance and filings to board support and corporate governance advisory.

Responsibilities
Compliance & Filings:
Ensure timely preparation and submission of statutory filings with ACRA for corporate clients
Monitor and maintain compliance with regulatory deadlines and reporting obligations for multiple client companies
Handle incorporation, striking off, changes to shareholding/directorship, and other corporate secretarial matters
Record Management:
Maintain and update statutory registers, corporate records, and company files for clients
Prepare and manage board resolutions, written resolutions, and other statutory documentation
Ensure proper documentation, safekeeping, and retrieval of client corporate records
Board & Shareholder Support:
Organise and coordinate board and shareholder meetings for client companies
Prepare meeting agendas, draft minutes, and maintain records of resolutions
Advise directors on corporate governance matters and compliance with the Companies Act
Advisory & Liaison:
Provide guidance to clients and management on corporate compliance, regulatory requirements, and good governance practices
Liaise with ACRA, IRAS, and other regulatory authorities on behalf of clients when necessary
Requirements
Must-Have:
Diploma or Degree in Business, Accountancy, or related field
Minimum 35 years of corporate secretarial experience in a Corporate Service Provider environment in Singapore
Strong knowledge of the Singapore Companies Act, ACRA regulations, and corporate governance standards
Excellent organisational skills with high attention to detail
Strong written and verbal communication skills; able to manage multiple client deadlines independently
Ability to work in a fast-paced corporate service environment, handling multiple client portfolios efficiently
Nice-to-Have:
RQI-qualified (Registered Qualified Individual) for corporate secretarial practice
