Our client, a leading global bank, is seeking a Corporate Secretary to support its legal and compliance operations in Singapore. This role offers the opportunity to work in a dynamic, highly regulated environment with exposure to cross-border corporate governance and regulatory compliance.
Key Responsibilities of this Corporate Secretary role:
- Manage the lifecycle of corporate entities, including incorporation, maintenance, and dissolution across multiple jurisdictions.
- Support and oversee corporate secretarial responsibilities, including drafting Board and Shareholder resolutions, handling filings with ACRA, and preparing submissions to the Monetary Authority of Singapore (MAS).
- Coordinate with external service providers for statutory filings and regulatory submissions.
- Maintain and update corporate records, entity management systems, and governance documentation.
- Liaise with internal teams (e.g., legal, compliance, finance) and external stakeholders (e.g., legal counsel, regulators).
- Monitor changes in corporate regulations across Singapore, Asia Pacific, and offshore jurisdictions.
Key Requirements of this Corporate Secretary role:
- At least 5 years of corporate secretarial experience, ideally within a bank or financial institution.
- Strong understanding of MAS regulatory requirements and experience handling MAS-related submissions.
- Familiarity with AML/KYC procedures and corporate governance standards.
- Excellent organizational skills and attention to detail.
- Ability to manage multiple priorities and work independently.
- Proficiency in Microsoft Office; experience with entity management platforms is a plus.
