About the Opportunity
A leading global corporate services provider with a strong international presence is looking for a Corporate Secretarial Manager to join their growing Singapore practice.
This is a client-facing portfolio management role where you will take ownership of a diverse book of clients - including private limited companies, SGX-listed companies, and foreign-registered entities - delivering the full spectrum of corporate secretarial advisory and compliance services.
You will lead and develop a team of corporate secretarial professionals, serve as a trusted advisor to your clients, and play an active role in shaping processes and driving continuous improvement within the practice.

Key Responsibilities
- Own and manage a client portfolio of private, public listed, and foreign companies across all corporate secretarial matters - acting as the primary point of contact for clients on governance, compliance, and advisory matters
- Coordinate and manage board meetings end-to-end - agenda preparation, drafting board minutes and resolutions, circulation for signing, and ensuring timely ACRA filings
- Ensure statutory and regulatory compliance - annual returns, changes to directors and shareholders, AGMs and EGMs for listed clients, allotment and transfer of shares, and other filings under the Singapore Companies Act
- Advise clients on corporate governance and compliance matters - clients include CFOs, general counsel, and in-house legal teams who rely on you for guidance on what is required and how to execute
- Lead, coach, and develop a team of junior staff (executives and associates) - setting priorities, reviewing work quality, and ensuring deadlines are met across the team's combined portfolios
- Drive process improvement - proactively identify bottlenecks and implement better workflows to enhance service delivery and operational efficiency
- Build and maintain strong client relationships - deliver consistent service quality, manage expectations, and contribute to achieving yearly team performance targets
- Collaborate with cross-functional stakeholders including legal counsel, auditors, tax advisors, and offshore teams to meet key deliverables
What We Are Looking For
Must-Haves:
- CSIS qualification (Chartered Secretaries Institute of Singapore) - or equivalent recognised qualification (ICSA / CGI)
- Minimum 5 years of supervisory experience in a corporate secretarial practice, with a track record of leading and developing team members
- Listed company client experience - demonstrated experience servicing SGX-listed or equivalent public listed company clients, including AGM/EGM coordination, continuous disclosure obligations, and Listing Rules compliance
- Strong knowledge of the Singapore Companies Act (Cap 50) and ACRA filing requirements
- Client portfolio management experience - managing a book of clients in a corporate services or professional services environment, with a commercial and relationship-driven approach
- Hands-on leadership style - comfortable drafting minutes, filing returns, and advising clients directly, while also managing and mentoring a team
Nice-to-Have:
- Experience across multiple entity types (fund SPVs, holding companies, foreign-registered entities) and familiarity with cross-border corporate governance
- Prior experience at a corporate services firm
- Exposure to fund operations, private equity structures, or multi-jurisdictional coordination
- Experience with process improvement initiatives and operational efficiency projects
- Proficiency in MS Office and corporate secretarial software
