Corporate Governance Lead, MNC

A global MNC is seeking a Corporate Governance Lead to oversee governance, compliance, and legal entity management activities across an international portfolio of subsidiaries.

Key Responsibilities:

• Lead governance and compliance oversight for a global network of subsidiary entities.
• Coordinate board and shareholder meetings, prepare governance documentation, and maintain corporate records.
• Manage director appointments, resignations, onboarding, and governance training programs.
• Ensure regulatory filings and statutory obligations are completed accurately and on time across multiple jurisdictions.
• Support cross-border corporate reorganizations and entity rationalization initiatives.
• Lead legal entity simplification and liquidation projects where required.
• Manage the establishment of new legal entities and maintain accurate group structure information.
• Partner with internal and external stakeholders to address governance, audit, and regulatory requests.
• Lead and develop a governance team while fostering a culture of continuous improvement.
• Build strong relationships with senior stakeholders across the organization.
• Drive process optimization and leverage technology and AI to improve governance operations and efficiency

Key requirements:

• 8+ years experience in Corporate Governance, Company Secretarial, or Legal Entity Management.
• Proven experience supporting holding companies, parent entities, and complex multinational corporate structures.
• Experience leading a team and driving governance best practices across multiple jurisdictions.
• Strong stakeholder management skills with the ability to partner with senior leadership, Legal, Tax, Finance, and Treasury teams.
• Background in board governance, entity compliance, corporate restructurings, and entity rationalisation projects.
• A proactive mindset with an interest in leveraging technology and AI to improve governance processes.
