Senior Legal/Director Counsel (Tech)
Position Summary
This role will be pivotal in supporting the companys upcoming IPO and ensuring compliance with global regulatory requirements, particularly in relation to U.S. securities laws. The successful candidate will act as a strategic advisor to senior management, oversee corporate governance, and manage legal risks across international operations.
Key Responsibilities
- Advise management and business units on all legal aspects of the companys operations, with emphasis on corporate governance, compliance, and securities law.
- Lead and manage legal workstreams related to the companys IPO process, including SEC filings, prospectus drafting, and compliance with U.S. securities regulations.
- Support cross-border M&A, joint ventures, financing, and strategic partnerships.
- Draft, review, and negotiate a wide range of contracts, including technology licensing, vendor, customer, and partnership agreements.
- Establish and maintain compliance programs in line with U.S., PRC, and other international regulations.
- Liaise with external counsel, auditors, and regulators (including SEC, HKEX, MAS, etc.) to ensure smooth IPO and listing processes.
- Provide training and guidance to management and employees on corporate governance, securities laws, and compliance matters.
- Monitor evolving regulations in key markets (U.S., China, Southeast Asia, Europe) and advise the business accordingly.
Qualifications & Requirements
- Bachelors or Masters degree in Law; PRC and/or U.S. bar qualification preferred.
- Minimum 812 years of legal experience,
- Proven experience in IPO, securities compliance, and corporate governance.
- Familiarity with U.S. SEC regulations, SOX compliance, and international data/privacy frameworks.
- Strong business acumen with ability to balance legal risks and commercial priorities.
