Job Description

BDC is seeking an experienced, commercially minded and proactive Senior Legal Counsel to support the Company's capital markets and M&A activities across the Asia-Pacific region.

This role will provide legal support on equity capital markets (ECM) transactions, structured finance and other financing activities, M&A transactions, amid ongoing regulatory, disclosure and compliance matters for listed and private investment vehicles. From time to time, the role will also support asset-level acquisitions and other corporate development activities across the Asia-Pacific region.

The successful candidate will work closely with senior stakeholders across BDC's investments, finance, tax and project development teams, and will manage and coordinate external legal advisers across multiple jurisdictions.

Key Responsibilities

  • Capital Markets Transactions: Act as the legal focal point for ECM transactions, including asset injections, asset disposals and other capital markets transactions; oversee the due diligence and issue spotting process; review and negotiate transaction and disclosure documents; advise on relevant regulatory, disclosure, and governance matters.
  • M&A Transactions: Draft, review and negotiate a wide range of M&A transaction documents, including sale and purchase agreements, investment agreements, shareholder agreements, financing documents, disclosure documents and ancillary agreements.
  • Regulatory, Disclosure & Compliance: Support compliance with applicable securities laws, listing rules and ongoing disclosure obligations; assist with preparation and review of offering documents, circulars, announcements and investor communications.
  • Legal Due Diligence & Advisor Management: Lead or support legal due diligence for acquisitions, divestments and capital markets transactions; instruct, coordinate and manage external counsel, underwriters, valuers and other professional advisers.
  • Stakeholder & Project Management: Act as a key legal point of contact for transactions, working closely with internal stakeholders across investments, finance, tax and project development teams; support negotiations with investors, joint-venture partners and financiers.
  • Legal Process & Knowledge Management: Assist with developing and maintaining standard templates, precedents and playbooks for capital markets and asset recycling activities; support continuous improvement and standardisation of legal processes.

Requirements

  • Education: Bachelor of Laws (LL.B.) degree or higher.
  • Qualifications: Admitted to practice in a common law jurisdiction; experience in capital markets and general corporate / M&A matters is an advantage.
  • Experience: 5+ years of post-qualification experience, ideally from a top-tier or well-regarded law firm, with demonstrated experience in capital markets, REITs, structured finance and/or other complex investment transactions, including significant international and cross-border deal exposure.
  • Candidates from private practice are welcome to apply; prior in-house experience is an advantage but not necessary.
  • Core Skills: Strong transaction management skills; excellent legal drafting and negotiation skills; sound commercial judgment and ability to provide practical, business-focused advice.
  • Communication: Excellent written and verbal communication skills in English; ability to engage effectively with senior internal stakeholders and external advisers across jurisdictions. Proficiency in Mandarin Chinese, Malay or Thai is an advantage.
  • Personal Attributes: Proactive, adaptable and able to work independently; strong sense of ownership and responsibility; able to manage multiple complex workstreams in a fast-paced, cross-border environment; collaborative team player with high professional and ethical standards.
