Job Description
General Responsibilities
Legal & Business Documents and Agreements
- Reviewing, drafting, preparing and/or advising on legal agreements, including leases, license agreements, commercial contracts, NDAs and services agreements for the APAC and Middle East region.
- Provide pragmatic legal support to business teams and regional leaders to facilitate operational projects and engagements.
Disputes, Litigation & External Counsel Management
- Handle disputes relating to contracts, labor, and other business matters across APAC and the Middle East.
- Manage litigation processes, including coordination with external counsel and monitoring case progress.
- Select, instruct, and oversee law firms, ensuring quality and cost‑effective delivery of legal services.
- Provide guidance on dispute resolution strategies to protect the company's interests.
Company Secretarial & Compliance
- Preparation of board minutes, directors circular resolutions etc., and coordinating with external company secretarial service providers.
- Assisting with preparing and uploading announcements to HKEX and Samsonite Investor's websites for compliance purposes.
- Handle a wide range of high‑level company secretarial works and duties for the Samsonite Group of companies.
- May act as Singapore Branch Manager of a foreign registered company, overseeing statutory filings, corporate governance, and regulatory compliance specific to Singapore jurisdiction.
- Oversee company secretarial responsibilities across APAC and Middle East regions, including set‑up and elimination of companies, joint ventures, and preparation of related documentation.
- Liaise with external parties and regulators across multiple jurisdictions to ensure compliance with statutory, regulatory, and governance requirements.
Job Experience & Requirements
- Education: Degree in Law or related disciplines
- Experience Requirements: Minimum of 8–10 years working experience, preferably with a multinational corporation serving APAC region, or as a senior associate with a reputable law firm. Prior experience in corporate governance, branch management responsibilities in Singapore, multi‑jurisdictional company secretarial matters, and managing disputes/litigation is strongly preferred.
- Language: High proficiency in both spoken and written English. Able to read, write and speak in Mandarin is an advantage due to exposure to China market.
