We're partnering with a fast-growing international business to identify a commercially minded Legal Counsel to join its Singapore team.

We're keen to connect with lawyers with experience in commodities / physical trading, energy, biofuels, recycling, waste management or sustainability-related industries, and strong exposure to commercial contracts, M&A and cross-border transactions.

This is a broad, high-autonomy role offering the opportunity to work closely with senior management and act as a trusted legal partner across strategic and day-to-day business matters.

Key Responsibilities:

• Provide practical and commercially focused legal advice to senior management and business teams.
• Draft, review and negotiate commercial agreements, including supply, offtake, distribution, logistics, services and confidentiality agreements.
• Support M&A, investments and corporate transactions, including due diligence, transaction documentation, joint ventures and corporate restructuring.
• Advise on banking and financing matters, including facility agreements, security documentation, trade finance and fundraising transactions.
• Support capital markets and IPO-related matters, where required.
• Review and advise on commodities trading and operational contracts, including purchase and sale agreements, trade documentation, shipping and logistics arrangements.
• Advise on trade-related matters including Incoterms, title and risk, force majeure, payment issues and counterparty claims.
• Manage disputes, arbitration and litigation matters, including coordination with external counsel.
• Advise on corporate governance, regulatory compliance, sanctions and other legal risk matters.
• Manage external legal counsel across relevant jurisdictions and ensure legal matters are handled efficiently and commercially.

Requirements

• Qualified lawyer with 3+ years PQE.
• Strong experience in corporate/M&A and commercial transactions.
• Exposure to at least two of the following areas would be highly advantageous:
• fundraising, banking & finance, capital markets/IPO, commodities trading or commercial arbitration.
• Comfortable reviewing and negotiating complex commercial agreements independently.
• Strong commercial judgement with the ability to balance legal risk and business objectives.
• Able to work independently in a fast-paced, cross-border environment.
• Experience within commodities, energy, agri-commodities, biofuels, sustainability or physical trading would be advantageous.
• Singapore qualification/admission or relevant legal credentials aligned with the requirements of the role.
