Job Responsibilities:
. Assist in preparing necessary documents and maintaining statutory records on all matters related to incorporation, annual compliance, and ad-hoc corporate changes for the Group.
. Liaise with statutory bodies, banks, and other third-party business partners, as required.
. Prepare and review minutes of Directors and Shareholders meetings and Directors and Shareholders resolutions for specific corporate transactions.
. Ensure compliance with relevant statutory and regulatory requirements, including the Singapore Companies Act and SGX Listing Rules.
. Assist the Group in matters relating to corporate governance and sustainability reporting.
. Assist with the Group's statutory administration, including work passes, business licenses, and related matters.
. Handle statutory filings with ACRA in compliance with the Singapore Companies Act.
. Perform general corporate, administrative, and secretarial duties for the department.
. Organise Board and Committee meetings, Annual General Meeting and liaise with auditors.
. Administer the Employees Share Option Scheme (ESOS) and Performance Share Plan (PSP) related matters.
Job Requirements:
. Minimum of 3 years of working experience in the corporate secretarial field in Singapore. Preference will be given to candidates with Institute of Chartered Secretaries and Administrators (ICSA).
. Strong knowledge of the Singapore Companies Act, SGX Listing Rules and related regulatory requirements.
. A good team player and able to work independently.
. Able to organise and prioritise work with minimum supervision.
. Strong interpersonal skills with excellent written and communication skills in English.
