Senior Legal Counsel Infrastructure Projects
We are pleased to be partnering with a high-growth digital infrastructure platform backed by institutional capital and expanding rapidly across Asia. As the organisation accelerates the build-out of its data centre footprint, particularly in India, it is strengthening its legal capabilities to support complex project development, structuring, and cross-border expansion.
As the business enters a significant phase of scale and capital deployment, it is seeking a senior infrastructure projects lawyer to play a pivotal role in shaping and institutionalising its India platform while gaining broader exposure to regional strategic initiatives.
Role Overview
Reporting to the Head of Legal, you will serve as a senior legal advisor supporting the development and structuring of large-scale data centre projects. This role is highly embedded within the investment, development and commercial teams and will be instrumental in supporting the platform's long-term growth strategy.
The position blends hands-on project execution with strategic structuring responsibilities. You will work across real estate, joint ventures, project SPVs, construction and commercial arrangements, while contributing to the design of scalable legal frameworks to support future expansion across Asia.
Key Responsibilities
You will lead and manage legal workstreams for infrastructure projects, including structuring and implementing project SPVs and holding entities aligned with the broader group architecture. This includes drafting and negotiating joint venture agreements, shareholder arrangements and co-investor structures, as well as advising on optimal risk allocation across stakeholders.
The role will involve close oversight of real estate matters, including land acquisition structures, leasing and licensing arrangements, and coordination with local counsel on regulatory and land-use compliance. You will ensure that real estate assets are structured effectively within the overall investment framework.
You will support greenfield project development and construction initiatives, including negotiation of EPC and construction contracts, O&M agreements, and other long-term service arrangements. Ensuring bankable risk allocation and alignment with financing structures will be a key priority.
In addition, you will draft and negotiate complex commercial contracts, including colocation agreements, vendor and procurement contracts, and strategic supplier arrangements. You will work closely with business teams to deliver commercially sound and scalable contracting solutions.
The role will also provide exposure to project financing matters, including supporting debt financing and refinancing exercises, working alongside lenders and external counsel, and ensuring consistency between financing documentation and underlying project agreements.
Beyond the India mandate, you will have the opportunity to contribute to broader regional expansion initiatives, capital structuring discussions, governance matters, and strategic transactions as the platform continues to scale.
About You
The successful candidate will have more than 10 years of post-qualification experience, ideally gained within a leading international law firm or infrastructure platform. You bring deep expertise in infrastructure projects and demonstrable experience managing legal workstreams.
You possess strong experience in real estate structuring, joint ventures, project SPVs, construction and EPC contracts, and complex commercial agreements. Familiarity with project finance principles and emerging market regulatory environments in places like India, will be highly advantageous.
You are commercially mature, solutions-oriented, and comfortable operating in fast-scaling, entrepreneurial environments. You are capable of managing multiple stakeholders across jurisdictions and coordinating external counsel effectively. Strong judgement, autonomy and the ability to balance legal rigour with commercial practicality are essential.
