About the Role

We'relooking for a fast-learning and dynamicSenior Corporate Counsel, based in ourSingaporeoffice, to leadcorporate governancematters forNium'sglobal subsidiaries and support governance for our parent company. In this role, you will oversee the management of entities worldwide, including preparing and coordinating board meetings and approvals, and ensuring compliance with governance requirements across our regulatory licenses. You will also play a key role in strategic legal projects spanning M&A, fundraising, equity,IP, andemployment.

Key Responsibilities
Serve as corporate secretary and lead governance forNiumPte.Ltd. and its global subsidiaries, including board and committee meetings, regulatory filings, resolutions, and consents.
Partner withNiumleadership, the Board of Directors, and the corporate secretary team to ensure compliance with all legal, regulatory, and corporate governance best practices.
Liaise with product, regulatory, finance, and compliance teams to ensure governance obligations are met underNium'sregulatory licenses worldwide.
Oversee intercompany arrangements, including capital contributions, share issuances, and other intra-group transactions, in coordination with finance and local corporate secretaries.
Manage D&O questionnaires, related party transactions, and conflicts of interestmattersfor directors and officers.
Support fundraising and financing initiatives, including preparingNiumfor potential IPO readiness.
Lead and advise on global M&A activity to supportNium'sgrowth in new and existing markets.
Contribute to special legal projects across multiple areas, including equity, IP, and employment.
Conduct legal research and provide guidance on complex corporate governance and regulatory issues.
Collaborate cross-functionally with corporate development, finance, HR,the broaderlegal, and compliance teams to enableNium'scontinued global expansion.
Prioritize businessobjectivesand support the corporate legal needs of a rapidly scaling, internationally regulated company.
Proactivelyidentifyopportunities to add value and drive strategic initiatives across the business.
Requirements
7+ years of relevant corporate experience at a major law firm and/or in-house legal team, with experience managing a portfolio of subsidiaries a strong plus.
Combination of in-house and law firm practice experience preferred.
Deep understanding of corporate governance requirements and best practices.
Provenexpertisein corporate fundraising, M&A, and corporate governance, gained through work with high-growth or multinational companies.
Strong research, writing, and project management skills, with the ability to manage multiplecomplexmatters simultaneously.
Demonstrated ability to act as the primary in-house attorney on significant corporate projects.
Effective collaborator who thrives in cross-functional environments and can influence outcomes through partnership.
Highly action-oriented and impact-driven; comfortable rolling up your sleeves to get things done.
Exceptional verbal and interpersonal communication skills, with the ability to simplify complex legal concepts for diverse audiences.
Intellectually curious, passionate about your work, and energized by a fast-paced, evolving environment.
