Overview
Drive corporate governance standards and serve as a trusted governance advisor across corporate entities, subsidiary boards, and key business leadership committees. This role will manage a diverse entity portfolio, ensuring seamless board operations, robust regulatory compliance, and alignment with the organization's growth strategy.
Responsibilities
Lead end-to-end meeting preparation, execution, and corporate governance frameworks for subsidiary boards and executive management committees.
Oversee legal filings, statutory duties, branch regulatory requirements, corporate records, and exchange listing obligations for relevant entities.
Partner with board directors and executive leadership to provide expert counsel on corporate governance, transaction execution, and director appointments.
Direct the issuance and management of legal Powers of Attorney across entities and operational units.
Build strong, trusted relationships with top-tier internal executives and external regulatory authorities.
Support team development, mentor junior talent, and implement process enhancements to optimize governance workflows.
Qualifications & Competencies
Diploma/Degree or related field preferred.
8-10+ years of experience in corporate secretarial practices, financial services regulations, individual accountability frameworks, and statutory governance.
Proven success leading through change, collaborating across matrixed organizations, and driving high-performance results.
With a proven ability to distill complex legal and regulatory concepts into actionable insights.
Strong business acumen, high emotional intelligence, and unwavering ethical standards when managing sensitive corporate matters under pressure
