Key Responsibilities:
- Draft and review range of early-stage commercial agreements, including NDAs, MOUs and LOIs.
- Assist in preparation of legal contracts and documents as instructed by the supervising counsel.
- Conducting legal research as may be required by the legal team.
- Responsible for assisting with corporate governance duties in relation to various corporate entities, including: a) Taking and drafting of Board notice, agenda, minutes b) Preparing and filing required notifications relating to change of directors and other relevant information c) Preparing documents in relation to filing of annual returns and AGMs and liaising with the internal stakeholders and third-party service providers as necessary.
- Builds and maintains positive relationships with internal stakeholders across legal and commercial divisions.
- Responsible for day-to-day administrative support for the legal team including budget and projects.
- Following up with directors and shareholders for approvals and execution of resolutions and other required documents in a timely manner.
- Maintain filing system to store and keep track of physical and electronic documentation.
- Other duties as required by the supervising counsel.
Requirements:
- Diploma or Degree in law.
- Proficiency in written and spoken English and Chinese is required to handle mainly English and Mandarin speaking stakeholders
- Japanese language ability will be considered a strong advantage as the individual will liaise with colleagues from Japan and handle Japanese correspondences
- Minimum2 years of paralegal experience in a law firm or corporation
- Exceptional interpersonal, verbal & written communication skills.
- Demonstrated ability to work independently & as a positive contributor and leader to team efforts, including follow-up / follow-through, organization & prioritization.
- Demonstrated ability to manage projects to meet established goals.
- Ability to understand and work with complex legal structures across the organization, both domestically and internationally.
- Demonstrated ability to work effectively with all levels of the organization, including senior management.
- Strong working knowledge of MS Office, particularly Excel, and other software applications including SharePoint.
