Job Summary
The Manager/ Senior Manager, Legal is responsible to provide support on all Legal and Corporate Secretariat matters in relation to the businesses of the Company, including but not limited to: Provide legal advisories to Business Units on all business transactions the Company undertakes, managing legal risks and corporate governance, drafting legal agreements / contracts, handling ACRA filings, managing board meetings, maintaining statutory records, drafting resolutions and undertake special projects.
Key Responsibilities
Legal Duties
- Draft, review, advise and negotiate on all business contracts, MOUs, NDAs, Service Agreements, and other legal documents.
- Advise on corporate laws, labour laws, intellectual properties, and industry specific regulations in ensuring legally compliance with all regulations.
- Work and liaise with external counsels in handling litigations, arbitrations, and disputes.
- Identify and mitigate potential legal risks and provide workable solutions.
- Develop and implement legal policies and frameworks.
- Maintaining legal database and records.
- Work with Business Units on Special Projects from time to time.
Company Secretariat and Administrative Duties
- Ensure compliance with all regulations, including but not limited to the Companies Act, ACRA regulations, MAS guidelines.
- Advise and keep the Board updated on all legal and regulatory obligations.
- Organize Board meetings, Annual General Meetings, and committee meetings.
- Draft agenda, minutes, resolutions, and notices.
- Prepare and ensure timely submission of annual returns, resolutions, and all regulatory filings with ACRA.
- Handle company incorporation, director appointments, share transfers, restructuring and other corporate matters.
- Maintain and update statutory registers, records, and Memorandum & Articles of Association
- Other ad-hoc duties assigned from time to time.
Qualifications and Skills
- Qualified Company Secretary (SAICSA/ICSA Certification preferred).
- Law Degree (LLB) from a recognized university/institution preferred.
Experience
- Minimum of 8 to 10 years of experience in corporate secretarial and legal functions.
- Experience in a listed company, financial institution or MNC preferred.
Key Skills
- Strong knowledge of Singapore corporate laws, ACRA regulations, SGX rules, MAS compliance and contract law.
- Excellent drafting, negotiation, communication and interpersonal skills.
- Strong can-do attitude, analytical and problem-solving abilities.
- High degree of initiative with good commercial sense.
- Able to work independently and able to multi-task and to prioritize work in dealing with a range of legal issues
