We are seeking an Manager, Corporate Development to support Vistra's inorganic growth strategy by providing analytical and execution support across M&A transactions, divestments, and other strategic initiatives. Working closely with senior Corporate Development team members and stakeholders across Vistra's global business, the role will contribute to the evaluation, execution, and successful completion of transactions that strengthen Vistra's presence across existing and new geographies, as well as product and service categories.

The role provides hands-on transaction support across the full M&A lifecycle, from preliminary target screening, financial modelling, and due diligence coordination through to transaction execution and closing. While global in scope, the role has a primary focus on Asia. It partners closely with internal stakeholders across Commercial, Operations, Finance, Legal, Tax, HR, and IT functions, as well as external advisers including investment banks and accounting, legal, and tax firms, to support the delivery of Vistra's Corporate Development agenda for senior management and shareholders, including EQT.

Key Responsibilities:

  • Deal Pipeline Support: Help maintain the M&A target pipeline, including data capture, tracking, and periodic updates for reporting.
  • Deal Process Support: Support the M&A process under the direction of senior team members – including performing preliminary target assessment, coordinating due diligence workstreams, and contributing analysis to inform management's view on transaction feasibility.
  • Financial and M&A Modelling: Build and maintain financial and M&A models under senior team direction to support decision-making. Perform financial analysis, run sensitivity and scenario analyses to support assessment of each transaction against strategic objectives.
  • Investment Material Preparation: Draft and assemble investment papers and supporting materials for senior team review and management approval.
  • Cross-functional Teaming: Work with internal business segments (commercial, operations, legal, financial, tax, HR, IT, etc.) and external advisors (investment banks, accounting, legal, tax, etc.), to support effective execution of transaction workstreams.
  • Industry Research: Conduct industry research, comparable transaction analysis and trading benchmarks to support the inorganic growth strategy.
  • Integration / Separation - Support integration and separation planning and execution for acquisitions and divestitures.

Key Requirements:

  • Bachelor's degree in Finance, Accounting, Business, Economics, or a related field; professional qualification (CPA, ACCA, CFA, or equivalent) preferred
  • 5 to 6 years of proven experience in M&A or transaction services, ideally combining financial due diligence (Big 4 Transaction Services / Deals Advisory) with corporate finance or M&A advisory exposure (Investment Banking or Big 4 Corporate Finance)
  • Hands-on experience supporting M&A transactions — including financial due diligence, valuation, financial modelling, and deal documentation — is essential
  • Experience in cross-border, multi-jurisdictional transactions, with exposure to mid-market deal sizes (approximately USD50m–500m) preferred.
  • Exposure to financial services, professional services, fund services, or business services sectors preferred (not essential)
  • Strong financial modelling and valuation skills; High level of analytical rigor, attention to detail, and commercial judgment
  • Excellent written and verbal communication, with the ability to prepare clear, decision-useful materials for senior stakeholders and work effectively in a team
  • Proficiency in Excel, Word and PowerPoint applications; familiarity with data tools (Capital IQ, PitchBook, Mergermarket) preferred
