Job overview and responsibility

Role Purpose

To build the legal and compliance infrastructure for the group's overseas operations (Singapore and SE Asia). This role provides end-to-end legal support for real estate development and high-level capital market activities, including potential Hong Kong IPOs.

Key Responsibilities

- Legal Framework

Establish and refine the legal management system, SOPs, and compliance guidelines for Singapore and Southeast Asian markets.

- Transaction Support

Provide full-lifecycle legal support for real estate projects, including land acquisition, construction, financing, sales, and property management.

- Capital Markets

Lead legal work related to Hong Kong IPOs, including due diligence, drafting legal chapters of prospectuses, and managing regulatory inquiries.

- Risk & Dispute Management

Manage overseas litigation, arbitration, and complaints; coordinate with external counsel to minimize loss and reputational risk.

- Team Leadership

Build and mentor an overseas legal team and maintain relationships with local regulators and industry associations.

Required skills and experiences

1. Educational Background

- Education & Qualification: LLB/LLM from a renowned university. Singapore Bar qualification highly preferred. Qualifications in China or Common Law jurisdictions with strong Singapore law expertise are also acceptable.

- Candidates holding a Chinese or Singaporean legal professional qualification or practicing lawyer's license

2. Work Experience

- 10+ years of legal experience, with at least 5 years in a Legal Director or senior legal management role.

- Experience in heavy-asset industries such as IDC (Internet Data Centers) or real estate is preferred, with a solid understanding of the operational models, business characteristics, and legal risk areas in these sectors.

- Extensive legal experience in heavy-asset financing projects, including end-to-end legal support for bank loans, finance leasing, trust arrangements, and asset securitization in IDC and real estate sectors.

- Must be able to independently handle all legal matters arising during financing processes and be familiar with relevant financing laws and regulatory requirements.

- Prior legal work experience in Singapore or cross-border legal experience is preferred.

- Must be familiar with Singapore's local laws, regulations, business environment, and regulatory requirements, and capable of handling cross-border legal matters.

- Proven experience leading a legal team, with strong team management and coordination abilities.

3. Professional Competencies

- Proficient in Chinese and Singaporean laws and regulations (civil law, corporate law, contract law, financing-related laws, IDC industry regulations, real estate laws, etc.), with solid legal theory and extensive practical experience. Capable of accurately identifying and managing legal risks and providing professional, actionable legal solutions.

- Strong contract drafting, review, and negotiation skills. Able to independently handle complex contracts and legal documents, with expertise in heavy-asset financing, IDC, and real estate-related contracts.

- Capable of optimizing contract terms to balance legal risk and commercial interests.

- Strong dispute resolution capabilities, with experience handling major litigation and arbitration cases.

- Able to develop sound dispute resolution strategies and efficiently resolve legal disputes to protect the company's interests.

- Good commercial mindset, able to align legal support with the company's strategic development and business needs, driving deep integration of legal and business operations.

4. General Qualities

- Excellent communication, coordination, stress management, and execution skills.

- Able to efficiently manage legal tasks and coordinate internal and external resources.

- Strong cross-departmental and cross-cultural communication skills, suitable for Singapore's diverse work environment.

- Meticulous, detail-oriented, and highly responsible, with strong confidentiality awareness and professional ethics.

- Fluent in English, Chinese is plus

- Able to work in both languages, handle bilingual legal documents, and conduct bilingual communication and negotiations.

- Must be adaptable to Singapore's office environment and cross-border business needs.

- Strong learning agility, able to quickly track changes in industry regulations and policies and keep legal knowledge up to date.

5. Other Requirements

- Must be able to work full-time in Singapore with a valid Singapore work authorization and a clean professional record.

- Aligned with the company's culture, willing to support the company's strategic development, proactive in legal work, with a strong sense of professionalism and team spirit.

Preferred skills and experiences

Experience supporting a Hong Kong IPO is a significant advantage.

Overseas law study background with familiarity with the Singapore legal system is an advantage.
