Position Description
The In-house Counsel will be a key member of the legal team of a company listed on the Singapore Stock Exchange (SGX) with business operations primarily in ASEAN.
Reporting Relationships
Report directly to the Group General Counsel
Job Responsibilities/ Scope
- Assist in and advice on legal, regulatory, corporate governance and compliance related matters for the listed company and its subsidiaries in Singapore and overseas
- Assist with board and committee meetings and annual general meetings for the listed company (including preparing relevant board papers and drafting minutes of meetings)
- Prepare, draft and review reporting documents for the listed company including annual report, circulars, public announcements, press releases and regulatory filings
- Draft, review and negotiate on contracts including sale and purchase agreements, investment agreements, joint venture agreements, non-disclosure agreements, licence agreements, financing and loan documents, operational agreements and intra-group agreements
- Draft, review and assist with corporate secretarial related documentation for the group companies
- Draft and review legal and compliance related company and group policies
- Open to handling other areas of law, where required
- Interface and collaborate with business teams of the listed company and its subsidiaries
- Liaise and communicate with regulators and external legal advisers and service providers
- Undertake legal and other regulatory research, as well as business-related research where applicable
Qualifications & Experience
- Law degree (LLB or equivalent) from a reputable university in Singapore, United Kingdom or Australia
- Between 4 to 7 years PQE
- Private practice experience in corporate/capital markets/M&A department and/or in-house corporate experience.
- Experience working in SGX listed companies and/or familiarity with SGX listing rules would be a strong advantage
- Competences:
- Strong understanding of Singapore corporate, commercial laws and listing rules.
- Draft/ review of contracts including sale and purchase agreements, investment agreements, joint venture agreements, non-disclosure agreements, licence agreements, financing and loan documents, and operational agreements such as supply and distributorship contracts
- Draft/ review of corporate documents such as board, committee and shareholder resolutions
- Exposure to intellectual property work an advantage but not a pre-requisite
- Exposure to cross-border legal work an advantage but not a pre-requisite
- Excellent analytical, problem-solving and communication skills
