Job Description
Cana Consulting is exclusively partnering with a global investment management platform is looking to appoint a Legal Counsel to its Singapore team.
This is a broad-based in-house legal position suited to a commercially minded lawyer who enjoys working across different areas rather than specialising in a single transactional discipline.
Operating within a lean and relatively flat organisational structure, the successful candidate will work closely with senior legal colleagues, investment professionals and other business functions across the organisation. The nature of the role is varied and fluid: priorities can change depending on the needs of the business, and the Legal team is expected to take a practical and hands-on approach to matters ranging from sophisticated investment-related work to day-to-day corporate, commercial and operational issues.
Responsibilities
- Acting as a day-to-day legal partner to investment professionals, corporate functions and other stakeholders across the organisation;
- Advising on a broad range of corporate, commercial and operational matters arising from the activities of an investment management business;
- Drafting, reviewing and negotiating a wide variety of agreements, including commercial contracts, confidentiality agreements, service arrangements and other business documentation;
- Supporting corporate governance, entity management, board and shareholder matters across different group and investment entities;
- Assisting with regulatory, compliance, risk and internal governance matters alongside the relevant internal teams;
- Providing legal support in relation to portfolio companies and investments, including matters that may arise throughout the investment lifecycle;
- Supporting investment, financing, restructuring and other transactional matters as and when required;
- Coordinating and managing external counsel and other professional advisers across multiple jurisdictions;
- Supporting internal initiatives, policies, projects and other matters which may not fall neatly within a traditional legal specialisation;
- Helping to identify and manage legal and commercial risks across the business; and
- Taking ownership of matters at varying levels of complexity and importance, including routine or administrative matters where required.
Requirements:
- 4–7 years PQE;
- Admission to practise in Singapore, England & Wales, Hong Kong, Australia or another recognised common-law jurisdiction;
- Strong academic credentials and training from a reputable law firm and/or established in-house legal team;
- Experience in corporate/M&A, banking & finance, leveraged/acquisition finance, private equity or another relevant transactional practice;
- Strong legal fundamentals and the ability to apply them beyond their original area of specialisation;
- Commercial judgement and an ability to provide practical advice rather than purely technical legal analysis;
- The confidence to work directly with senior stakeholders while remaining willing to handle matters at all levels of complexity;
- A flexible and adaptable mindset, with the ability to move between different subject matters and changing priorities; and
- A collaborative, low-ego and hands-on working style.
