The Company
Our client is a regional performancematerials manufacturer serving apparel brands with production in North and Southeast Asia and commercial teams in Singapore and across the region. The business operates a lean HQ and multiple overseas plants, supporting endtoend B2B supply and export operations.
Responsibilities
1) Commercial Legal & Advisory
- Serve as the primary inhouse counsel for Singapore and regional affiliates, providing practical guidance on commercial decisions, regulatory developments, and operational matters.
- Translate legal risk into clear, actionable recommendations for senior stakeholders.
2) Contracting & Deal Support
- Draft, review, negotiate, and manage a high volume of contracts (e.g., sales/supply, distribution, procurement, JV/strategic collaboration, NDAs).
- Maintain and improve template suites and playbooks; embed clear approval thresholds and version control.
- Oversee the contract repository and key term tracking (renewals, pricing, service levels, liabilities).
3) Compliance, Governance & Investigations
- Maintain fitforpurpose policies spanning data protection, antibribery/anticorruption, competition, trade compliance, and corporate governance.
- Monitor and implement regulatory updates across operating markets; perform internal checks, respond to regulatory queries, and coordinate internal investigations where required.
4) CrossBorder & Corporate Support
- Coordinate with overseas plants and sales teams on crossborder contracts and local law considerations.
- Support board/secretarial processes (agendas, minutes, filings) and selected corporate exercises and diligence workstreams.
5) External Relationships & Enablement
- Manage outside counsel effectively (clear scopes, budgets, and outcomes).
- Prepare regular reports and dashboards for leadership on legal/compliance metrics and risks.
- Champion process improvements and digital tools (e.g., contract lifecycle management, shared workspaces, VDRs).
Requirements
- Singapore or another commonlaw bar qualified
- 58+ years PQE with substantial commercial contracting experience; inhouse exposure in manufacturing/industrial/B2B environments is preferred.
- Proven ability to own endtoend negotiations and handle highvolume workflows with sound judgment.
- Comfortable supporting crossborder matters and collaborating with overseas stakeholders.
- Businesslevel proficiency in English and Mandarin (reading/reviewing bilingual documents for Chinese manufacturing operations and corresponding with Chinesespeaking counterparts).
