Legal Counsel

JOB DESCRIPTION

Your main duties and responsibilities are as follows:

Working as part of the legal and corporate secretariat team which supports SGX-listed business trust and real estate investment trusts, as well as private funds invested across real estate, connectivity and infrastructure assets, with key responsibilities including:

• Advising on and supporting Keppel's private fund managers in all stages of the fund cycle from fund formation, fund raising, investments, day-to-day management of portfolio companies, financing matters, divestment to winding up.

• Advising on and supporting Keppel's real estate investment trust manager and trustee-manager in managing Keppel's REITs and business trust to meet corporate objectives, including acquisitions, divestments, entry into joint ventures, equity and debt fund raisings and other corporate actions, as well as day-to-day legal support such as reviewing customer and vendor contracts, financing matters, confidentiality agreements, engagement letters, and managing litigation matters.

• Advising on compliance with applicable legal and regulatory requirements including the SGX Listing Manual, Companies Act, Business Trusts Act, Securities and Futures Act, Code of Collective Investment Scheme etc, as well as internal corporate and compliance policies and procedures.

• Managing and working with external legal advisors in an efficient and cost-effective manner and serving as the channel of communication with regulators such as the SGX and the MAS.

• Providing oversight to the corporate secretarial function as well as being appointed as company secretary. Corporate secretarial responsibilities include liaising with directors, drafting minutes, reviewing resolutions, preparing and reviewing announcements, assisting with AGMs and preparation of annual reports and ensuring compliance with other statutory filing and reporting obligations.

• Such other duties and responsibilities as may be reasonably requested by your immediate supervisor / the head of department from time to time.

JOB REQUIREMENTS

• A good law degree from a reputable university with at least a minimum of 5 years of post-qualification experience in a law firm or as in-house counsel
• Familiarity with private funds including structuring, offering materials, fund organizational documents, the fund raising process as well as the relevant regulatory regimes is essential
• Good working knowledge on corporate matters such as mergers & acquisitions, capital markets and general corporate and commercial work
• Familiarity with REITs/business trusts and the relevant regulatory regimes will be an advantage
• Able to work independently as well as part of a team.
• Possess good interpersonal skills and confidence in leading and providing well-reasoned advice.
• Personal attributes include thoroughness, good analytical and problem solving skill, commercially astute and being able to multi-task in a fast pace environment.
