Job Description

Our client is a leading platform within the digital infrastructure sector, with a growing presence across Asia Pacific. The business develops, invests in and operates mission-critical hard assets, with a focus on long-term growth, strategic partnerships and complex cross-border projects.

As the business continues to expand, they are looking to hire a Legal Counsel to support corporate, transactional and commercial legal matters across the region.

Key Responsibilities

  • Provide legal support on M&A transactions, investments, divestments, joint ventures and strategic partnerships across Asia Pacific.
  • Draft, review and negotiate transaction documents, including sale and purchase agreements, shareholders agreements, joint venture agreements, investment agreements and related ancillary documents.
  • Support commercial, development and operational matters, including customer contracts, vendor agreements, service agreements, procurement contracts, NDAs and other business-critical arrangements.
  • Advise internal stakeholders on legal risks, transaction structuring, regulatory considerations and corporate governance matters.
  • Work closely with external counsel across different jurisdictions, ensuring quality, efficiency and commercially practical advice.
  • Support financing, refinancing and project-related documentation where required, working alongside finance and investment teams.
  • Assist with corporate secretarial, compliance, governance and board-related matters.
  • Develop and improve legal templates, processes and internal policies to support a growing regional business.
  • Partner with commercial and senior leadership teams to provide practical, business-oriented legal advice.

Requirements

  • 6 to 9 years PQE, ideally gained from a reputable law firm and/or an in-house legal team.
  • Strong background in corporate, M&A, investments, joint ventures and/or commercial transactions.
  • Experience in digital infrastructure, data centres, telecommunications infrastructure, technology infrastructure, energy, renewables, real estate, utilities or other hard-asset sectors would be highly advantageous.
  • A mix of private practice and in-house experience would be ideal, although strong private practice candidates looking to move in-house will also be considered.
  • Strong drafting, negotiation and stakeholder management skills.
  • Ability to work independently while also collaborating closely with regional and global teams.
  • Commercially minded, solutions-oriented and comfortable working in a fast-paced business environment.
  • Excellent communication skills and the ability to advise senior stakeholders clearly and confidently.
  • Singapore Bar qualification preferred.
