Role Overview
They are seeking a proactive and detail-oriented Legal Counsel to support expanding team. The ideal candidate will have hands-on experience managing the full lifecycle of commercial contracts, as well as corporate compliance and regulatory matters. Responsibilities
- Provide practical day-to-day legal support to business, HR, finance, supply chain, and sales teams in Singapore and other jurisdictions.
- Draft, review, and negotiate a wide range of commercial agreements, including NDAs, procurement/vendor contracts, software licensing, distribution agreements, and hardware or service contracts.
- Support corporate governance activities, including preparation of board resolutions, coordination with corporate secretaries, and management of subsidiary compliance.
- Advise HR on employment matters such as contract drafting, probation and termination processes, workplace investigations, confidentiality/IP assignments, and PDPA compliance for employee data.
- Oversee data protection compliance (PDPA/GDPR), review SaaS and data-processing terms, and support cross-border data governance initiatives.
- Develop, update, and maintain internal compliance policies covering data protection, contract governance, export control, and internal controls.
- Work with external counsel on cross-border employment matters, IP protection, dispute management, and adherence to local regulatory requirements, including interactions with government authorities.
- Support risk management activities and create essential legal templates and workflows (e.g., contract processes, compliance documentation, data protection forms).
- Deliver legal training to internal teams on contract basics, data privacy, export control compliance, and related topics.
- Conduct KYC/AML checks and establish compliance procedures to meet regulatory obligations.
Requirements
- Bachelor's Degree in Law (LLB) from a recognized institution.
- At least 5 years of relevant legal experience in commercial, corporate, employment, or compliance matters; experience in the technology sector is a plus.
- Familiarity with AI infrastructure, cloud services, or data center operations is advantageous.
- Strong experience drafting and negotiating commercial contracts involving technology products or services.
- Excellent communication, analytical, and negotiation skills, with the ability to work independently in a fast-paced, cross-border environment.
