Job Description
We are partnering with a leading Asia-headquartered investment platform to appoint a Legal Counsel to join its established regional legal team. This is a highly transactional role with a strong focus on M&A, investments and strategic transactions across Asia Pacific.
We are particularly interested in lawyers with strong pan-APAC M&A experience, whether advising financial sponsors / private equity funds or corporate clients. The opportunity would be particularly well suited to a senior associate from a leading corporate/M&A practice looking to make a high-quality move in-house.
Key Responsibilities
- Advise on M&A and investment transactions across multiple APAC jurisdictions.
- Support acquisitions, disposals, joint ventures, strategic investments and corporate restructurings.
- Manage transactions throughout the lifecycle, from structuring and due diligence through negotiation, documentation, signing and completion.
- Draft and negotiate transaction documentation, including SPAs, shareholders agreements, joint venture agreements and other investment-related documentation.
- Work closely with investment, finance, tax and other internal stakeholders on transaction execution.
- Coordinate complex cross-border transactions and manage external counsel across relevant jurisdictions.
- Identify key legal and commercial risks and provide pragmatic, solutions-oriented advice.
- Support other strategic corporate initiatives across the platform as required.
Requirements
- Qualified lawyer with 6+ years PQE, ideally at senior associate or equivalent level.
- Strong Corporate/M&A experience gained at a leading international or top-tier law firm.
- Experience representing financial sponsors / private equity funds and/or corporate clients on M&A transactions.
- Demonstrable pan-APAC and cross-border transactional experience would be highly regarded.
- Prior in-house experience within an investment platform or multinational organisation is welcome but not essential.
- Strong drafting, negotiation and transaction management capabilities.
- Commercially minded and comfortable working directly with investment professionals and senior business stakeholders.
