Job Description

We are seeking a motivated Legal Associate / Senior Associate to join our Corporate Commercial Practice. You will be part of a collaborative team and gain substantial exposure to a broad range of corporate, commercial and employment matters.

You will support clients across various industries - from start-ups and SMEs to multinational corporations - on corporate transactions, commercial arrangements, and day-to-day operational legal needs. The role is well‑suited for candidates who enjoy diverse work, value practical problem‑solving, and are keen to develop strong commercial instincts.

Key Responsibilities

Corporate Transactions

  • Structure, negotiate, and implement joint ventures, strategic collaborations, and commercial partnerships.
  • Advise on corporate re-organisations, restructurings, amalgamations, capital management exercises, and other strategic corporate actions.
  • Support multi‑jurisdictional and cross‑border transactions, collaborating with Rajah & Tann Asia's member firms and other foreign counsel where required.

Corporate Advisory

  • Advise on the establishment and structuring of business entities in Singapore, including regulatory, operational, and licensing considerations.
  • Advise on corporate governance, entity management, and ongoing compliance requirements.

Commercial Contracts

  • Draft, review, and negotiate a wide range of commercial agreements, including service, supply, agency, distribution, procurement, and consultancy agreements.
  • Advise on contractual risks, commercial implications, and implementation issues.

Employment Matters

  • Advise on employment-related matters, including employment contracts, workplace policies, and compliance with applicable employment legislation.

Requirements

  • Singapore qualified lawyer with 3 to 5 yearspost qualification experience.
  • Strong grounding in corporate and commercial law, with the ability to translate legal principles into practical, workable solutions.
  • Experience drafting and negotiating commercial agreements.
  • Experience in employment law is an advantage.
  • Commercial acumen with sensitivity to client priorities, timelines, and operational realities.
  • Strong written and verbal communication skills.
  • Able to work independently and collaboratively.
  • Self‑motivated and proactive, with the ability to anticipate issues and progress matters with minimal prompting.
  • Attention to detail and ability to manage multiple matters concurrently.
