About the role
The Head of Secretariat & Legal oversees all legal, regulatory, and compliance matters across SPH Media. This role is a key business partner to the senior leadership, ensuring that all editorial, commercial, digital, and corporate initiatives are legally sound and aligned with the company's governance framework. The position also serves as Company Secretary to the Board.
The scope of responsibilities includes the following:
1. Legal & Regulatory Advisory
- Provide strategic legal counsel on a wide range of matters, including corporate governance, media law, defamation, intellectual property, data protection, technology, and employment.
- Advise business units on commercial contracts, including partnerships, content licensing, digital advertising, and vendor agreements.
- Support editorial and content teams on issues related to publication risks and rights management.
- Provide legal oversight for all the organisation's external and marketing communications.
- Experience with legal and regulatory risks for Technology and/or AI-enabled solutions would be an advantage.
2. Corporate Governance & Secretariat
- Serve as Company Secretary; manage all Board and institutional members matters, including meeting administration, resolutions, and filings.
- Advise on compliance with the Companies Act, PDPA, and other relevant laws and regulatory guidelines.
- Support Board committees on governance, disclosure, and conflict of interest matters.
3. Risk & Compliance Oversight
- Establish and maintain frameworks for legal risk management and regulatory compliance, including AI governance policies.
- Oversee dispute resolution, litigation management, and external counsel engagements.
- Collaborate with Internal Audit and Risk to ensure consistent governance practices across the organisation.
4. Leadership & Stakeholder Management
- Lead and develop the in-house legal and compliance team; foster a culture of proactive, business-oriented legal support.
- Act as a trusted advisor to the CEO, senior management, and Board.
Required Qualifications
- A recognised law degree with at least 15 years of post-graduate experience
- Deep knowledge of the law, in particular, the media regulatory environment
- Self-motivated, collaborative, adaptable and possess a strong analytical ability with attention to details
- Strong interpersonal, communication, organisational and leadership skills
- Ability to strategise and make decisions on complex legal issues
