MetaComp Pte Ltd is a leading Singapore-based digital payment solution provider, licensed and regulated by the Monetary Authority of Singapore (MAS) as a Major Payment Institution, to provide Digital Payment Token Services and Cross-border Payment Transfers. Operating under a P2B2C (platform-to-business, partners-to-clients) model, MetaComp provides its clients with an integrated end-to-end suite of services, empowering them to confidently enter the digital asset market with much-needed safety, security, and compliance assurance. Together with its parent company, Metaverse Green Exchange Pte. Ltd. (a MAS-licensed CMS holder permitted to carry out, inter alia, brokerage and custody services), MetaComp introduces its suite of services through CAMP (Client Assets Management Platform) which allow businesses to develop and scale their digital asset offerings through various products and/or services such as over-the-counter transactions, fiat payments, digital asset custody and prime brokerage.

Role Overview

The Chief Legal Officer (CLO) is responsible for leading the Company's legal strategy, corporate governance, and legal risk management framework. This role provides executive-level legal advisory to the Board and senior management, ensuring the business operates within applicable laws and regulations while enabling commercial growth.

This role does not oversee regulatory compliance operations or compliance monitoring functions, which are managed by the Compliance function.

The CLO serves as a strategic legal partner to the CEO and Board, safeguarding the company's legal integrity across all jurisdictions of operation.

Key Responsibilities

1. Legal Strategy & Advisory

  • Act as the principal legal advisor to the CEO, Board of Directors, and executive leadership team.
  • Provide commercially pragmatic legal advice across corporate, financing, investment, operational, and strategic initiatives.
  • Support business expansion into new markets with legal structuring guidance.

2. Corporate Governance

  • Oversee corporate governance framework and Board governance matters.
  • Advise on shareholder matters, capital structure, and corporate restructurings.
  • Manage Board resolutions, constitutional documents, and governance documentation.
  • Support M&A transactions, joint ventures, and strategic partnerships.

3. Commercial & Contracting

  • Oversee drafting, negotiation, and execution of:
  • Commercial agreements
  • Vendor and strategic partnership agreements
  • Financing documentation
  • Investment and shareholder agreements
  • Establish contract governance and risk thresholds.

4. Disputes & Legal Risk Management

  • Manage litigation, arbitration, and dispute resolution strategy.
  • Oversee engagement and management of external counsel.
  • Develop legal risk mitigation strategies across business functions.
  • Handle employment disputes and high-risk legal matters.

5. Regulatory Advisory (Non-Compliance Execution)

  • Provide legal interpretation of regulatory frameworks impacting the business.
  • Advise management on regulatory risks and legal implications.
  • Partner with the Compliance function on regulatory matters, while not managing compliance monitoring, reporting, or regulatory filings.

6. Intellectual Property & Data Protection (Legal Oversight)

  • Oversee legal strategy relating to IP protection.
  • Provide legal advisory on data protection laws and cross-border data transfer matters.
  • Support product and technology teams on legal structuring of offerings.

7. External Stakeholder Management

  • Liaise with regulators on legal matters where required.
  • Manage relationships with external law firms.
  • Support investor relations from a legal standpoint.
