Role Overview
Keystone Investors is seeking a Head of Corporate Services & Legal Counsel to oversee the firm's corporate services functions, with a focus on administration, governance, and operational discipline, alongside providing daytoday legal support to the business.
This is a hands-on role suited to an experienced professional who is comfortable managing multiple workstreams, exercising sound judgment, and ensuring matters are progressed efficiently and resolved appropriately. The legal component of the role focuses on pragmatic generalist support and coordination with external counsel, rather than specialist technical expertise.
Key Responsibilities
1. Corporate Services Oversight - Administration
- Lead the oversight and coordination of the firm's administrative and officemanagement functions, ensuring appropriate processes, controls, and standards are in place
- Oversee and maintain administrative policies and practices, including: Office management and facilities arrangements (via internal staff and/or external providers). Travel, expense, and reimbursement policies and approval frameworks. Meeting coordination, scheduling practices, and administrative support processes
- Act as a point of escalation for administrative and operational issues, ensuring matters are addressed promptly and pragmatically
- Maintain a focus on oversight, consistency, and operational discipline rather than daytoday administrative execution
2. Corporate Services Oversight - Governance & Corporate Secretary
- Oversee the corporate governance framework for the firm and its entities, ensuring ongoing compliance with applicable statutory and regulatory obligations
- Act as the primary internal owner of corporate secretarial matters, working closely with the firm's external corporate secretary to ensure: Timely statutory filings and submissions. Accurate maintenance of corporate registers, resolutions, and records. Proper handling of director, officer, and entitylevel changes.
- Oversee and support board and committee processes, including the preparation, coordination, and review of agendas, papers, minutes, and resolutions
- Ensure governance documentation and records are well maintained, consistent, and auditready
3. Corporate Services Oversight - Human Resources (Legal & Governance Focus)
- Provide oversight of Human Resources matters from a legal, governance, and peoplemanagement perspective, including: Assistance with employment law compliance and related risk management. Review and oversight of employment contracts, policies, and standard documentation. Supporting senior management on employeerelated matters where legal or governance input is required.
- Act as a coordination point between management and any internal or external HR resources.
4. Legal Advisory & Matter Management
- Serve as a legal point of contact for the CCO and senior management on daytoday corporate, commercial, and regulatory matters
- Draft, review, and negotiate a broad range of commercial contracts, internal policies, and legal documentation
- Maintain oversight of legal record-keeping, ensuring executed agreements and signed legal documents are properly tracked, retained, and readily accessible
- Coordinate and manage external legal counsel on specialist matters (including fund documentation, ISDA agreements, and other technical or jurisdictionspecific issues), ensuring clear scoping, efficient progression, and appropriate internal coordination
- Assist with the identification, triage, and resolution of any legal and contractual matters affecting the business
Qualifications & Experience
- Law degree (LLB or equivalent)
- Typically, 5-10 years of relevant postqualification, inhouse, or equivalent practical experience
- Demonstrated experience in financial services or another regulated environment
- Background in corporate, commercial, governance, or corporate services work
- Familiarity with corporate governance and corporate secretarial processes
- Experience working with external advisers and service providers, including coordinating and managing external legal counsel
- Well suited to operating as a broad generalist handling diverse issues across the business
