Job Summary
We are seeking a meticulous and highly organised Corporate Secretary & Fund Administration / Compliance Executive to support the firm's corporate governance, fund operations, and regulatory compliance framework.
This role will work closely with senior leadership, legal advisors, fund administrators, and external stakeholders to ensure all statutory, fund-level, and regulatory obligations are met. The ideal candidate is detail-oriented, proactive, and comfortable operating in a lean, fast-paced investment environment with exposure across corporate structures and investment vehicles.
Key Responsibilities
Corporate Secretarial & Governance
- Manage full spectrum of corporate secretarial duties, including incorporation, maintenance, and dissolution of entities across jurisdictions
- Ensure timely filing of statutory returns, annual reports, and regulatory submissions in compliance with relevant authorities
- Prepare and maintain board resolutions, minutes, and corporate records with high accuracy and confidentiality
- Coordinate and organize board meetings, AGMs, and shareholder communications
Fund Administration Support
- Assist in the setup and ongoing administration of fund structures (e.g., SPVs, investment vehicles, fund entities)
- Liaise with external fund administrators, custodians, and auditors on reporting, NAV cycles, and investor-related matters
- Support capital calls, distributions, and investor reporting processes where required
- Maintain accurate fund documentation, registers, and transaction records
Compliance & Regulatory
- Monitor and ensure compliance with statutory and regulatory requirements, including ACRA, MAS, and other relevant frameworks
- Support internal compliance processes including KYC/AML checks, onboarding documentation, and periodic reviews
- Assist in implementing and maintaining internal compliance policies, procedures, and controls
- Track regulatory changes and support impact assessments across the firm's entities and fund structures
Stakeholder Management & Operations
- Liaise with external service providers, regulators, auditors, and legal counsel on corporate governance and compliance matters
- Support internal stakeholders on governance, compliance, and fund-related queries
- Assist with ad hoc administrative and operational duties where required in a lean team environment
Requirements
- Bachelor's degree in Business, Finance, Law or a related discipline
- ICSA / CSIS qualification (or equivalent) is highly preferred
- 3–8 years of relevant experience across corporate secretarial, compliance, and/or fund administration
- Prior experience within investment firms, family offices, asset managers, or professional services firms is preferred
- Strong understanding of Singapore corporate governance and regulatory requirements (ACRA, Companies Act, MAS guidelines)
- Exposure to fund structures, investment vehicles, or investor reporting is a strong advantage
- Highly detail-oriented with strong organisational and documentation skills
- Ability to work independently in a lean, fast-paced environment
- Strong communication and stakeholder management skills
