Core Fiduciary Duties

. Act honestly, with reasonable diligence, and always in the best interests of the company.

. Safeguard company assets while setting strategic direction.

Statutory Compliance

. Ensure Annual General Meetings (AGMs) are held and annual returns filed promptly with ACRA.

. Maintain accurate records and oversee proper company administration.

Financial Oversight

. Prepare, maintain, and present precise financial statements.

. Monitor financial health to avoid incurring debts the company cannot pay.

Risk Management & Conflicts

. Identify/mitigate risks, especially in data protection and regulatory compliance for mobile services.

. Disclose personal interests in any company transactions to prevent conflicts.

Mobile Sector Specifics

. Drive PDPA compliance for customer data privacy, including DPO oversight and incident response.

. Ensure adherence to IMDA telecom regulations on licensing, QoS, and operations.

. Maintain active decision-making role-no hands-off involvement, even as nominee.
