Key Responsibilities:

  1. Assist in and sometimes oversees the corporate secretarial function in APAC, including preparing Board and Shareholders resolutions, filings with the Accounting and Corporate Regulatory Authority (ACRA), and submissions to the Monetary Authority of Singapore (MAS).
  2. Support the maintenance of statutory registers and records, and manage filings of hardcopy minutes and resolutions.
  3. Maintain accurate and up to date legal entity registers and other information relating to relevant subsidiary boards/committees, and ensure global entity management system (GEMS) is kept updated
  4. Provide supporting Board, Board Committee, and Singapore Management meetings. This includes creating agendas, coordinating both physical and virtual meetings, preparing drafts of board/board committee minutes, distributing meeting materials via specific platform, and executing post-meeting actions as needed.
  5. Provide support for administrative and logistic arrangements for Board and Board Committee meetings.
  6. Support compliance with TD Subsidiary Governance Policy and Standard requirements and relevant company law and corporate governance regulatory requirements relevant to the Boards/Board Committees/Board governance
  7. Establish and maintain team policies, procedures and controls for the function
  8. Supports the team to ensure adherence to company laws, regulations, and best practices in corporate governance.
  9. Supporting any ad hoc requirements/projects and undertaking such additional duties as requested by the Head of Corporate Governance, TDS Europe & Asia-Pacific
  10. Assist with other secretariat tasks or compliance-related assignments and support transaction matters as needed.

Candidate Requirements and Qualifications:

  1. Bachelor's degree in Business Administration, Governance, Law, or a related discipline, with minimum 6 years relevant corporate secretarial experience.
  2. In-house corporate secretarial experience in a financial institution or listed company will be advantageous.
  3. Strong understanding of corporate governance principles, regulations, and best practices, while prior experience in public listed companies is a plus.
  4. Excellent organizational skills with the ability to manage multiple tasks and priorities effectively.
  5. Exceptional attention to detail and accuracy in documentation and record-keeping
  6. Strong written and verbal communication for interaction with various stakeholders, etc.
  7. Proactive and self-motivated with the ability to work independently and as part of a team.
  8. Proficiency in Microsoft Office applications (Word, Excel, PowerPoint, Outlook) and Teams & WebEx.
  9. Experience with board portal software (eg. Diligent, etc.) is a plus.
  10. Favourable consideration will be given to candidates with a robust understanding of IT concepts, tools, and systems.
  11. Ability to handle confidential and sensitive information with discretion and professionalism.
