Responsibilities (how we will measure success):
- Provide full spectrum of corporate secretarial matters ensuring full compliance under the relevant laws pertaining to registrations of Company / LLP / Sole proprietorship / or any other type of entities.
- Shareholding and Director related transactions, Strike off and document drafting in accordance with the Companies Act, Singapore.
- Coordinating, monitoring and ensuring statutory and regulatory compliance requirements are met and adhering to timelines.
- Assist with ACRA filings with utmost attention and relevant documentation.
- Responsible for maintenance of statutory registers and other relevant forms as per the requirement of ACRA and Companies Act, Singapore (Example: Register of Controller, Register of Nominee Shareholder, or Director, etc).
- Engage with third parties such as Auditors as and when required in order to complete client's transactions.
- Have understanding of KYC (Know Your Customer) requirements for onboarding clients from different countries.
Tasks (what does the role do on a day-to-day basis):
- Officer changes (appointment, resignation, removal and change in particulars).
- Alteration of Capital and Transfer of Shares.
- Convertible Notes / SAFE / ESOP adoption and issuance.
- Strike off / Redomiciliation.
- Registration of all forms of legal entities.
- Declaration of Dividend.
- Annual filing.
- Redenomination of Shares / Consolidation of capital / Sub-division of shares.
- Preparation of Director and Member resolution based on requirements.

Required Experience:
- Minimum of 2 years of experience in corporate secretarial work.
- Minimum Diploma/Advanced Diploma/Degree in relevant field, Business Administration, Business Management or Law.
- CSIS qualification would be advantageous.
- Strong interpersonal and communication skills team player.
- Driven and capable of working independently with attention to details and maintaining high performance under tight deadlines
