Corporate Secretarial & Compliance
Corporate Secretarial & Governance:
- Act as the primary point of contact and liaise with local agents, regulators, and bankers across Singapore, Australia, Malaysia, China, and offshore jurisdictions on corporate secretarial and governance matters.
- Coordinate with external corporate secretarial agents to obtain quotations and manage end-to-end corporate actions, including company incorporations, annual compliance/maintenance, statutory filings, corporate changes (e.g. changes in directors, shareholders, registered address), and strike-offs or deregistration.
- Prepare, review, and maintain statutory registers, board and shareholder resolutions, and all related corporate secretarial and bank account opening documentation.
- Monitor regulatory updates and advise management on changes affecting corporate governance or statutory compliance.
Bank Account & KYC Management:
- Responsible for bank account openings by preparing company and officer documents, corporate structure charts, and business plans certify documents and liaise with bankers for new and existing entities.
- Manage ongoing KYC and AML queries from banks and auditors to ensure banking facilities remain operational.
Timeline & Document Management:
- Maintain the Master Compliance Calendar to track statutory deadlines (Business Registries, Tax Authorities, Monetary Authorities) and ensure timely submissions.
- Act as the document controller to ensure each entity has a complete, organized, and up-to-date digital archive.
- Work closely with internal Finance and Compliance teams to ensure timely preparation and accurate provision of corporate secretarial documents, supporting operational, compliance, and banking/KYC requirements.
Requirements
- Degree in Law, Accountancy, Corporate Governance, or equivalent professional qualification
- Minimum 6-8 years of corporate secretarial experience, with at least 2-3 years in a managerial or supervisory role
- ICSA (Institute of Chartered Secretaries and Administrators) qualification or currently pursuing ICSA with relevant experience, would be advantageous.
- Familiarity with banking KYC / AML and corporate account opening processes is an added advantage.
- Strong working knowledge of the Singapore Companies Act and corporate governance framework in Singapore
- Knowledge of offshore company setup would be advantageous.
- Strong leadership, communication, and stakeholder management skills
- Ability to handle complex corporate structures and advisory work
- Proficient in English and Chinese (written and spoken) to liaise with global and Chinese-speaking agents and internal stakeholders.
