Job Summary
Handle comprehensive corporate secretarial duties including company incorporations, foreign branch registrations, striking-off companies, preparing directors and shareholders resolutions, managing bank account openings and signatory changes for clients.
Responsibilities
- Manage corporate secretarial matters for a portfolio of international clients with Singapore and/or offshore companies to ensure compliance and accuracy
- Prepare and maintain statutory records such as board resolutions, share transfer forms, and registers to support corporate governance
- Track and monitor statutory and regulatory deadlines to ensure timely compliance with legal requirements
- Perform electronic filing of corporate documents with Companies Registry (e.g., ACRA, CR) to maintain up-to-date company records
- Respond promptly and professionally to clients queries via email and phone to provide clear and accurate information
- Provide ongoing guidance and mentorship to colleagues within the corporate secretarial department to enhance team capability
- Conduct Know Your Client (KYC) functions by reviewing application forms to verify client information and compliance
- Perform due diligence checks on new and existing clients to assess risk and ensure regulatory adherence
- Execute ad-hoc assignments as assigned to support departmental and organizational objectives
Preferred competencies and qualifications
- Familiarity with Singapore-incorporated companies regulatory and compliance requirements to effectively manage corporate secretarial duties
- At least 3 years of relevant experience
- Strong communication skills to build and maintain effective working relationships with clients and colleagues
- Positive working attitude with a strong sense of responsibility and initiative to drive tasks to completion
- Meticulous attention to detail to ensure accuracy in documentation and compliance tracking
- Ability to prioritize work and meet deadlines with minimal supervision in a fast-paced environment
- Team player capable of working independently to achieve departmental goals
- Proficient in spoken and written English to communicate effectively in a professional setting
- Ability to speak and write in Mandarin is a plus to support communication with Mandarin-speaking clients
